ARTEC EVA TRADE-IN PROGRAM TERMS AND CONDITIONS

This document is produced by ARTEC EUROPE S.à r.l., a société à responsabilité limitée organized and existing under the laws of the Grand Duchy of Luxembourg, having its registered office at 11 Breedewues, L-1259 Senningerberg, Luxembourg, and registered with the Luxembourg Trade and Companies Register under number B154428 (“Artec”), acting directly or through its affiliates, subsidiaries, or authorized resellers.
These Terms and Conditions (“T&C”) govern participation in the Artec Eva Trade-In Program between Artec and the participant (“You” or “Your”), whether an individual or a legal entity.
PURPOSE OF THE PROGRAM
Artec offers eligible owners of legacy Artec Eva and Artec Eva Lite scanners the opportunity to trade in such equipment in exchange for one of the benefits described in these T&C.
ELIGIBLE EQUIPMENT
Only the following products are eligible for participation:
• Artec Eva
• Artec Eva Lite
The Equipment must:
• be substantially complete and capable of powering on and operating;
• be free from significant physical damage affecting its operation;
• bear an intact and legible serial number;
• bear the “Made in Luxembourg” label.
PROGRAM PERIOD
The Trade-In Program is available from June 19, 2026 through October 31, 2026.
Artec reserves the right to amend, suspend, or terminate the Trade-In Program at any time. Any trade-in benefit already granted before such amendment, suspension, or termination shall remain governed by the T&C applicable at the time the benefit was granted.
ELIGIBLE PARTICIPANTS
Participation is open to individuals and legal entities who:
• are the lawful owners of the Equipment;
• are located in jurisdictions eligible under these T&C;
• are not subject to applicable sanctions, export controls, or trade restrictions; and
• provide documentation reasonably requested by Artec to establish ownership and eligibility.
REQUIRED DOCUMENTATION
You shall provide documentation reasonably satisfactory to Artec demonstrating ownership of the Equipment, including purchase records, invoices, registration records, or other evidence requested by Artec.
CURRENCY
Unless otherwise agreed by Artec:
• EUR applies within the EU and EEA;
• USD applies in all other jurisdictions.
TRADE-IN OPTIONS
Subject to Artec’s approval and compliance with these T&C, You may elect one of the following options. The chosen option may not be changed upon Artec’s review and approval.
Option 1 – Cash Buy-Back
Up to EUR 750 (seven hundred fifty) / USD 750 (seven hundred fifty) payable by bank transfer within thirty (30) days after Artec completes inspection of the Equipment and confirms its eligibility.
Option 2 – Trade-In Discount at Purchase
Up to EUR 5,000 / USD 5,000 discount from the list price of a new Artec Leo or Spider II.
The discount:
• applies only to the base scanner unit;
• does not apply to accessories, software, maintenance, services, subscriptions, or other products;
• may not be combined with bundle pricing, promotional discounts, or other special offers unless expressly approved by Artec in writing.
This option will be effected through the participating authorized resellers approved by Artec. This option is additionally subject to Artec’s Terms of Sale.
Option 3 – Extended Trade-In Discount
Up to EUR 5,000 / USD 5,000 discount on the future purchase of an Artec Leo or Spider II.
The discount:
• is valid from 19 June 2026 until 19 June 2028;
• is personal to the approved participant;
• is non-transferable;
• has no cash value;
• may not be redeemed for cash;
• expires automatically if unused.
This option will be effected through the participating authorized resellers approved by Artec. If the referenced product is discontinued during the validity period, Artec may permit redemption against a successor product or another qualifying product designated by Artec.
This option is additionally subject to Artec’s Terms of Sale.
Option 4 – Artec Studio Upgrade
A perpetual license for the then-current version of Artec Studio Version 20.
Upon assignment of the new license, any version-locked license associated with the traded-in Equipment may be removed from the participant’s account.
This option will be effected through the participating authorized resellers approved by Artec. This option is governed by the applicable Artec Studio End User License Agreement and Artec’s Terms of Sale.
GEOGRAPHIC SCOPE
The Program is available worldwide except in jurisdictions prohibited by applicable law, sanctions, export controls, or Artec policy, including, without limitation:
Afghanistan, Belarus, the Central African Republic, Congo, Cuba, Iran, Lebanon, Libya, Myanmar (Burma), North Korea, Palestine/the Palestinian Territory (incl. the Gaza Strip), Russia, Somalia, Sudan, South Sudan, Syria, Venezuela, Yemen, Zimbabwe, Crimea, Donetsk, Luhansk, Kherson, and Zaporizhzhia regions of Ukraine not controlled by the Ukrainian government.
SANCTIONS AND EXPORT CONTROL RESTRICTIONS
Participation is prohibited for any person, entity, organization, governmental body, or beneficial owner that is located, incorporated, or conducting business in prohibited jurisdictions, or the subject of sanctions, export restrictions, denied-party measures, or other restrictive measures administered by:
• the European Union or its Member States;
• the United States, including OFAC and BIS; or
• any governmental authority having jurisdiction over the export, import, transit, sale, transfer, or use of the Equipment.
ARTEC REVIEW AND APPROVAL
All trade-ins are subject to Artec’s prior review and approval. Artec reserves the right, at its sole discretion, to accept or reject any trade-in request and to determine whether the Equipment satisfies the eligibility requirements set forth herein. These T&C do not constitute a public offer, offer to contract, or obligation on the part of Artec to enter into any transaction. Artec may not be held liable for any loss or damage caused by the refusal of a trade-in request upon inspection and eligibility verification.
INSPECTION AND ELIGIBILITY VERIFICATION
Upon receipt of the Equipment, Artec may inspect and verify:
• model and serial number;
• ownership documentation;
• country-of-origin markings;
• physical condition;
• functionality; and
• compliance with these T&C.
If the Equipment fails to satisfy the eligibility requirements, Artec may:
(a) reject the trade-in and return the Equipment at Artec’s expense; (b) offer revised trade-in terms; or (c) dispose of the Equipment with Your written consent.
PERSONAL DATA
To the extent necessary for the administration of the Trade-In Program, Artec, its affiliates, and authorized resellers may collect and process personal data relating to You and Your representatives in accordance with applicable data protection laws, including Regulation (EU) 2016/679 (GDPR), and Artec’s Privacy Policy.
TRANSPORTATION
You are responsible for any shipping of the Equipment to Artec. All shipments to Artec shall be made on the DDP (Incoterms 2020) terms to Artec’s logistics center at 11 Breedewues, L-1259 Senningerberg, Luxembourg.
Artec shall bear the cost of outbound shipment of the Equipment, except where (i) You withdraw from the trade-in after shipment of the Equipment to Artec, or (ii) the Equipment is clearly ineligible for participation in the Trade-In Program, including where the Equipment materially fails to satisfy the eligibility requirements set forth in these T&C. In such cases, all return shipping costs shall be borne by You.
If approved by Artec in writing, the shipping may be performed on Incoterms 2020 DAP terms via Artec’s account. You will be solely responsible for any and all applicable taxes imposed by local tax legislation and any other relevant costs or expenses. Any extra payments incurred by Artec shall be deducted from the amount of the offer under the Promotion.
RISK OF LOSS
Risk of loss or damage to the Equipment remains with You until the Equipment is physically received by Artec.
TITLE TRANSFER
Ownership of the Equipment transfers to Artec only after:
(a) Artec has received the Equipment;
(b) Artec has completed its inspection; and
(c) Artec has confirmed acceptance by email.
WITHDRAWAL
You may withdraw from the trade-in after shipment but before delivery of the applicable trade-in benefit. In such a case, the Equipment shall be returned at Your sole expense.
FINALITY OF ACCEPTED TRADE-IN
Once Artec has accepted the Equipment and delivered the applicable trade-in benefit, the transaction shall be final and irreversible, and the Equipment shall not be returned.
ARTEC RIGHTS IN ACCEPTED EQUIPMENT
Following acceptance, Artec obtains full ownership of the Equipment and may refurbish, repair, modify, dismantle, recycle, destroy, export, resell, use for spare parts, or otherwise dispose of the Equipment in its sole discretion.
SOFTWARE, CALIBRATION, AND ANCILLARY RIGHTS
Participation in the Trade-In Program does not transfer any software license, maintenance entitlement, support entitlement, subscription, calibration certificate, calibration status, service entitlement, or other contractual right unless expressly confirmed by Artec in writing.
REPRESENTATIONS AND WARRANTIES
You represent and warrant that:
• You are the lawful owner of the Equipment;
• the Equipment is free from liens, encumbrances, leases, and security interests;
• You possess full authority to transfer ownership of the Equipment;
• all information supplied to Artec is accurate and complete;
• You are legally capable of entering into this transaction;
• the transfer does not infringe any third-party rights.
INDEMNIFICATION
You shall indemnify, defend, and hold harmless Artec, its affiliates, officers, directors, employees, distributors, and resellers from and against any claims, liabilities, damages, losses, costs, and expenses arising from:
• breach of these T&C;
• breach of any representation or warranty;
• ownership disputes relating to the Equipment;
• infringement of third-party rights.
DATA REMOVAL
You are solely responsible for removing all data from the Equipment prior to shipment.
Artec assumes no responsibility for any information, files, software, personal data, confidential information, or other content remaining on the Equipment.
You release Artec from any claims relating to access, deletion, disclosure, loss, corruption, or use of any such data.
LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Artec shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the Trade-In Program.
Artec’s aggregate liability arising out of or relating to the Program shall not exceed the value of 750 (seven hundred fifty) EUR/USD, depending on your country, and any associated shipping costs.
FORCE MAJEURE
Artec shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including governmental actions, sanctions, export restrictions, customs delays, transportation disruptions, natural disasters, pandemics, labor disputes, supply chain interruptions, acts of war, military operations, terrorism, or failures of carriers or suppliers.
ENTIRE AGREEMENT
These T&C constitute the entire agreement between the parties concerning the Trade-In Program and supersede all prior discussions, communications, representations, and understandings relating thereto.
GOVERNING LAW AND JURISDICTION
These T&C shall be governed by and construed in accordance with the laws of the Grand Duchy of Luxembourg, excluding its conflict-of-laws rules.
The courts of Luxembourg City shall have exclusive jurisdiction over any dispute arising out of or relating to these T&C or the Trade-In Program.
